Terms of Service

Thank you for selecting the Software offered by Agent Gab LLC (referred to as “Agent Gab,” “we,” “our,” or “us”). Agent Gab is a reseller of Software powered by HighLevel. Please review these terms (“Agreement”) thoroughly.

This Agreement is a legal contract between the customer (referred to as “you” or “client”) and Agent Gab. By clicking “I AGREE,” accessing, or using the Software, you agree to these terms.

1. AGREEMENT & LICENSE GRANT

Agent Gab grants you a personal, limited, nonexclusive, revocable license to use the Software. This license is contingent upon your continued fulfillment of all payment obligations. We reserve all rights not expressly granted to you in writing.

2. INTELLECTUAL PROPERTY & DATA OWNERSHIP

2.1 Client Content: You retain all rights to the original information, text, and customer data you upload to the Software ("Content").

2.2 Proprietary Logic: You acknowledge that all "Behind the Scenes" configurations, including but not limited to automations, workflows, chatbot logic, proprietary code, templates, and system integrations, are the sole and exclusive intellectual property of Agent Gab.

2.3 Non-Portability: These proprietary elements are licensed for use only within the Agent Gab platform. Upon termination of this Agreement, you are not permitted to export, copy, or transfer any Agent Gab proprietary logic to another platform.

3. PAYMENT TERMS & ENFORCEMENT

Agent Gab is a Software as a Service (“SaaS”) product. By subscribing, you agree to the following:

3.1 Billing: Payments are billed in advance on the day you subscribe and renew monthly or annually thereafter.

3.2 Late Fees & Declined Payments: * Any payment not received within three (3) days of the due date will incur a 1.5% monthly late fee.

A $25.00 fee will be charged for any declined credit card transaction or failed settlement.

3.3 The "Right to Suspend" (30-Day Rule): If an account remains unpaid for 30 days, Agent Gab will automatically "Pause" the account. Your website, automations, and integrations will be disconnected. You will retain "Restricted Access" only to settle the outstanding balance.

3.4 Account Deletion (90-Day Rule): Accounts unpaid for 90 days will be moved to "Deleted Status." All configurations will be removed from active production servers.

3.5 Data Recovery: Between day 91 and day 120 of non-payment, an account may be recovered subject to a $500.00 Recovery Fee plus the full outstanding balance. After 120 total days of non-payment, all data is permanently purged and cannot be recovered.

4. CANCELLATIONS & REFUNDS

4.1 Notice: A minimum 7-day written notice before the end of the payment period is required to cancel.

4.2 No Refunds: Agent Gab does not provide prorated refunds. You will be billed through the remainder of the current payment period.

4.3 Annual Plans: Annual subscriptions are pre-paid and non-refundable. Failure to pay monthly "Add-on" usage fees (SMS/Email) on an annual plan is subject to the Suspension terms in Section 3.

5. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENT GAB SHALL NOT BE LIABLE FOR ANY LOSS OF REVENUE, PROFITS, OR BUSINESS OPPORTUNITIES RESULTING FROM:

The suspension or "Pausing" of an account due to non-payment.

The deletion of data following the 90-day non-payment period.

The disconnection of third-party integrations (Social Media, Twilio, etc.) due to account delinquency. The Client assumes all risk for business interruption caused by their failure to maintain a valid payment method on file.

6. PROHIBITION ON SPAM & CONDUCT

Agent Gab may not be used for unsolicited "spam" (Email, SMS, or Voice Drops). We reserve the right to terminate access immediately if your spam complaint rate exceeds industry norms. You agree to be the sole "sender" for CAN-SPAM compliance purposes.

7. ARBITRATION & GOVERNING LAW

The law of the State of Wisconsin governs this Agreement. Any dispute or claim relating to the Software will be resolved by binding arbitration in Milwaukee, Wisconsin, rather than in court. You waive your right to a jury trial or to participate in a class action lawsuit.

8. TERMINATION

Agent Gab may immediately terminate this Agreement without notice if you fail to comply with any terms, including payment obligations. Upon termination, all outstanding payments become immediately due, and your license to use the Software (and its proprietary automations) ceases.
